* * Tofai Terms of Service * *

These Tofai Terms of Service (the "* * Terms * *") set forth the terms and conditions of use for any and all products and services (collectively, the "* * Services * *") provided by Tofai Corporation ( "* * Tofai * *") to users of its Services ( "* * Users * *", depending on the context).

* * 1. Definitions * *

The following words and expressions used in this clause shall have the meanings hereinafter defined.

1.1. "* * Content * *" means information such as text, sound, music, images, video, software, programs, computer code, and other information.

1.2. "* * Object Content * *" means content accessible through the Service.

1.3. "* * Submissions * *" means Content submitted, transmitted or uploaded by a User on or to the Service.

1.4. "* * Diamond * *" refers to the prepaid payment instrument, etc., by which the User can redeem the paid contents and services provided by Tofai within the Service.

1.5. "* * Separate Terms * *" means the terms and conditions, separate from these Terms, relating to the Services published or uploaded by Tofai under the names "Terms", "Guidelines", "Policies", etc.

1.6. "* * you * *" and "* * your * *" refer to you as a user of the Service.

* * 2. Agree to this clause * *

2.1. All Users shall use the Services in accordance with these Terms. The Services may not be used unless the User agrees to these Terms.

2.2. Users who are minors may use the Services only with the prior consent of their parents or legal guardians.

2.3. If you are using the Services on behalf of a company or other entity, "you" includes both you and that entity, and you represent and warrant that (a) you are an authorized representative of that entity with the authority to bind that entity to the Terms, and (B) you are agreeing to the Terms on behalf of that entity.

2.4. This clause contains an arbitration clause and a class action waiver clause. By agreeing to these Terms, you agree to (a) resolve all disputes with us through binding personal arbitration, which means you waive any right to have those disputes decided by a judge or jury, and (B) you waive your right to participate in a class action, class arbitration, or representative action. You have the right to opt out of arbitration as described below.

2.5. If there are separate terms applicable to the Service, the User shall also comply with such separate terms as well as these Terms when using the Service.

* * 3. Amendments to this Clause * *

Tofai may amend these Terms in accordance with applicable laws and regulations when such amendments become necessary for the purpose of the Services. In such event, Tofai will publish the amended Terms on the Service or on the Tofai Website and the effective date of the amendment, or notify the User in a manner prescribed by Tofai.

The amended terms shall come into force on the date of their entry into force.

* * 4. Account * *

4.1. When using the Services, the User may be required to set up an account by registering certain information. Users must register true, accurate and complete information and must revise such information to keep it current at all times. Registration data and certain other information about you are governed by our Privacy Policy. If you are under the age of 16, you are not entitled to register to use the Services.

4.2. If the User registers any authentication information while using the Service, he/she must handle such information with care, under his/her own responsibility, to ensure that it is not used illegally. When using a service using the user's registered authentication information, Tofai will provide the service assuming that the behavior is done by the user who registered the authentication information.

4.3. Any user who has registered for the Service may delete his/her account and cancel the Service at any time.

4.4. Tofai reserves the right to delete any account that has been inactive for a continuous period of one year or more since the last activation without prior notice to the user concerned.

4.5. When a User's account is deleted for any reason, any and all rights of that User to use the Service shall cease. Note that even if a user accidentally deletes his or her account, it cannot be recovered.

4.6. Each account in the Service is exclusively for the use of the user of that account and belongs only to that user. Users may not transfer, lease or otherwise dispose of their right to use the Service to any third party, nor may it be inherited or inherited by any third party.

* * 5. Privacy * *

5.1. Tofai places the highest priority on the privacy of its users.

5.2. Tofai will properly handle the privacy and personal information of users in accordance with the Tofai Privacy Policy.

5.3. Tofai undertakes to devote all care to its security measures to ensure that any and all information collected from users is managed securely.

* * 6. Provision of Services * *

6.1. The User shall, at its own responsibility and expense, provide computers, mobile phone equipment, smart phones and other communication equipment, operating systems, communication methods and electricity necessary for the use of the Service.

6.2. Tofai reserves the right to restrict the User's access to all or part of the Service based on such conditions as Tofai deems necessary, such as the User's age and identity, current registration status, etc.

6.3. You acknowledge that Tofai may establish general practices and limits regarding use of the Service, including but not limited to the maximum amount of time that data or other content may be retained by the Service and the maximum amount of storage space allocated to you on Tofai's servers. You agree that Tofai is not responsible for the deletion or failure to store any data or other content maintained or uploaded on the Service. You further acknowledge that Tofai reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

6.4. Tofai may stop providing all or part of the Services without prior notice to the User in the event of any of the following:

(1) System maintenance or repair;

(2) When the service cannot be provided due to force majeure (such as accidents (fire, power failure, etc.), natural disasters, wars, riots, labor disputes);

(3) In case of system failure or system overload;

(4) in an emergency to ensure the safety of the user or a third party, or for the public welfare; or

(5) except as provided in (1) to (4) above, as Tofai reasonably considers necessary.

* * 7.Advertising * *

Tofai reserves the right to post Tofai or third party advertisements on the Service.

* * 8. Third Party Websites and Services * *

The Service may provide, or third parties may provide, links or other access to other sites and resources on the Internet or third-party applications. Tofai has no control over, is not responsible for, and does not endorse, such sites, resources, or applications. You further acknowledge and agree that Tofai shall not be liable, whether directly or indirectly, for any damage or loss caused or alleged to be caused by use of or reliance on any content, event, goods or services available on or through any such sites, resources or applications. Any dealings you may have with discovered third parties while using the Services are between you and the third party, and you agree that Tofai shall not be liable for any losses or claims you may have against such third parties.

* * 9. Content * *

9.1. Tofai grants User a non-transferable, non-sublicensable, non-exclusive license to use the Object Content provided by Tofai solely for the purpose of using the Service.

9.2. Users shall comply with the applicable conditions when using the object content subject to the conditions of use (such as additional fees and duration of use, etc.). Tofai shall remain the owner of all intellectual property rights and all other rights in the Content of the Object provided to the User, and such rights shall not be transferred to the User, even if the words "buy", "sell", etc., appear on the Service screen. The User is granted only the right to use as specified above.

9.3. The User shall not use the Object Content beyond its intended use in the Service (including, but not limited to, copying, transmission, reproduction, and modification).

9.4. If the User wishes to back up all or part of the Submissions, they will need to do so themselves. Tofai is under no obligation to back up any Submissions.

9.5. The Service may contain features that allow multiple users to edit content (publish, correct, delete, etc.). In this case, the user who publishes his submission shall grant other users the right to edit that submission.

9.6. The User shall retain the rights to its Submissions and Tofai shall not acquire any such rights; However, with respect to those Submissions that are generally available to other Users (i.e., not only to the User's "Friends"), the User posting such Submissions shall be deemed to have granted Tofai a worldwide, perpetual, royalty-free license (including the right to modify (e.g., abbreviate) such Submissions to the extent Tofai deems necessary and appropriate, And the right to sublicense such usage rights to other third parties working with Tofai) to use such content for service and/or promotional purposes.

9.7. The User shall not exercise its rights, such as the moral rights of the author, with respect to the use of the Submission by Tofai or third parties in accordance with Sections 9.5 and 9.6 above.

9.8. When it is necessary for Tofai to confirm whether to comply with the relevant laws and regulations or the provisions of this clause, Tofai may check and confirm the content of the content submitted by the user within the scope permitted by the laws and regulations; However, Tofai is under no obligation to make such confirmation.

9.9. Tofai reserves the right to prevent a User from using the Service in certain ways without prior notice to the User if, in the opinion of Tofai, the User violates or is likely to violate any applicable law or regulation or the provisions of these Terms in connection with the Submission, or when otherwise reasonably necessary for Tofai's business. * * 10.Diamonds * *

10.1. Diamonds will be made available to Users by means specified by Tofai, such as in-service purchases, special offers, etc. The unit of purchase, method of payment, and any other terms and conditions for granting a diamond will be determined by Tofai and indicated in the Service or on the Tofai website.

10.2. Diamonds may not be exchanged for or used for cash, property or other financial gain except for services and content designated by Tofai. The number of diamonds required to receive the Service or Content, as well as other terms of diamond redemption, will be determined by Tofai and indicated in the Service or on the Tofai website.

10.3. Diamonds may only be used by the account from which they were obtained. In addition, even if the names are the same, diamonds provided by terminal devices of different operating systems may not be carried forward or combined due to different diamond types.

10.4. Diamonds are not refundable for any reason; Except as required by applicable laws and regulations. In this case, Tofai shall determine the refund process in accordance with the relevant laws and regulations, and such information will be provided on the Tofai website, etc.

* * 11. Provision of Subscription Services * *

11.1. The User may receive the Service upon payment of a fee or under terms and conditions specified by Tofai, wherein the User pays a certain amount of consideration to use certain object content specified by Tofai for a certain period of time. The User shall comply with these Terms, the cost of the Subscription Service, its payment method, and other terms and conditions of use posted in the Service or on the Tofai Website.

11.2. The user may cancel the subscription service at any time; However, even if the user cancels before the scheduled use period, the user may not change the use period or cancel the purchase of the subscription service. In such cases, fees paid will not be refunded, nor will they be refunded on a pro rata basis. However, if required by law or regulation, the foregoing shall not apply.

11.3. If the User does not complete the cancellation procedure before the specified date and time, the term of use of the Subscription Service may be automatically renewed in accordance with the terms specified by Tofai, even if the term of use of the Subscription Service by the User ends.

* * 12. Restrictions * *

You are solely responsible for all Content that you upload, post, publish or display ( "* * Upload * *") or transmit by email or otherwise through the Service. Your use of the Service may also be subject to the license and use restrictions set forth in the CreativeML Open RAIL-M license. The following are examples of content and/or uses that Tofai has determined to be illegal or prohibited. Tofai reserves the right to investigate and take appropriate legal action against any person who, in Tofai's sole discretion, violates this provision, including, but not limited to, removing the offending content from the App or Service, suspending or terminating such violator's account and reporting to applicable law enforcement authorities.

Tofai prohibits users from engaging in any of the following activities while using the Service:

12.1. Violation of legally binding laws and regulations, court judgments, resolutions or orders, or administrative measures;

Conduct likely to be contrary to public order, morals or customs;

12.3. Use the Services to create malicious or abusive content (at Tofai's sole discretion) or any content that violates Tofai's policies; Or use the Services (or any part thereof or any technology embodied therein) in any manner that infringes, misappropriates or otherwise violates the intellectual property or other rights of any person (such as copyrights, trademarks and patents, rights of reputation, privacy, and all other rights granted by law or by contract with Tofai and/or third parties) or violates any applicable law;

12.4. Upload or transmit any Content that: (a) infringes any intellectual property or other proprietary right of any party; (B) you have no right to upload under any law or contractual or other relationship; (C) contain software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (d) create or cause a privacy or security risk to any person; (E) constitute unsolicited or unauthorized advertising, promotional materials, commercial activity and/or sales, "junk mail," chain letters, "pyramid schemes," prize contests, "sweepstakes," or any other form of solicitation; (F) is unlawful, harmful, threatening, abusive, harassing, injurious, excessively violent, defamatory, vulgar, obscene, pornographic, defamatory, invasive of another's privacy, abhorrent or otherwise objectionable on racial, ethnic or other grounds; Or (G) is, in Tofai's sole judgment, objectionable or restricts or inhibits any other person's use or enjoyment of the App or Service, or may expose Tofai or its users to any harm or liability of any kind;

12.5. Conduct that results in the misrepresentation of Tofai and/or third parties or the intentional dissemination of false information. Impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity;

12.6. The act of sending the same or similar messages to a large number of unspecified users (unless approved by Tofai), the act of randomly adding other users as friends or in group chats, or any other act that Tofai considers to constitute spam. Solicit personal information from any person under the age of 18;

12.7. The act of exchanging the right to use the service or content for cash, property or other economic benefits, except in the manner prescribed by Tofai;

12.8. The use of the Services for sales, marketing, advertising, solicitation or other commercial purposes (unless approved by Tofai); the use of the Services for sexual or obscene conduct; the use of the Services for the purpose of meeting or engaging in sexual contact with unknown third parties; the use of the Services for the purpose of harassing or defaming other users; The act of renting, lending, selling or sublicensing any part of the Services; or using the Services in a manner other than for the purposes for which the Services are intended;

12.9. Conduct that benefits or involves cooperation with an antisocial group. Facilitate or promote any criminal activity or enterprise, or provide instructional information about illegal activities;

12.10. Acts relating to religious activities or invitations to join a particular religious group;

12.11. Unauthorized or improper collection, disclosure or provision of any other person's personal information, registration information, use history, etc.;

12.12. Acts that interfere with the server and/or network system of the service; acts that fraudulently manipulate the service through robots, cheating tools or other technical means; acts that intentionally exploit the defects of the service; Make unreasonable inquiries and/or improper claims (such as repeatedly asking the same question more than necessary) and otherwise interfere with or prevent Tofai from operating the Service or other users from using the Service;

12.13. Decoding the source code of the Service for an unreasonable purpose or in an unfair manner, such as through reverse engineering, disassembly, etc.;

12.14. Conduct that promotes or encourages any of the acts referred to in articles 12.1 to 12.13 above; And

12.15. Conduct other than as described in clauses 12.1 to 12.14 which Tofai reasonably considers to be inappropriate.

* * 13. User Responsibilities * *

13.1. The User shall use the Services at its own risk and responsibility. You are responsible for maintaining the confidentiality of your password and account, if any, and are solely responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify Tofai of any unauthorized use of your password or account or any other breach of security, and (B) ensure that you exit from your account at the end of each visit to the Service. Tofai shall not be liable for any loss or damage arising from your failure to comply with this section.

13.2. Tofai may, without prior notice to the User, suspend the User's use of the Service, in whole or in part, suspend or delete an account, cancel any agreement between the User and Tofai with respect to the Service (including, without limitation, any agreement based on these Terms, ) or take any other action that Tofai reasonably deems necessary and appropriate:

(1) The user violates applicable laws and regulations, this clause or any separate clause;

(2) The user is a member of an antisocial group or a related party;

(3) The user damages the reputation of Tofai by spreading false information, using fraudulent means or force or other illegal means;

(4) the User is subject to an application for attachment, provisional attachment, or auction; a proceeding such as a bankruptcy, civil rehabilitation, or similar proceeding is commenced; or Tofai otherwise reasonably determines that there is uncertainty as to the User's creditworthiness; or

(5) Due to reasons other than those mentioned in (1) to (4) above, the trust relationship with the user is lost or Tofai otherwise reasonably considers it inappropriate to provide the service to the user.

* * 14. No warranty * *

Tofai disclaims all warranties, express or implied, with respect to the service, including the subject matter, including, but not limited to, warranties of lack of defects (including, but not limited to, security failures, errors, or procedural errors, or infringement of rights) or of security, reliability, accuracy, completeness, availability, and fitness for a particular purpose. Tofai is under no obligation to provide the Service to the User after such defects have been eliminated.

* * 15. Avoid Overdependence and Addiction * *

Tofai acknowledges that you may spend a lot of time interacting with our AI services because you like them. However, Tofai hereby cautions you to avoid over-reliance or over-immersion in fictional scenarios generated through interaction with the AI. It is recommended that you carefully evaluate your ability to respond appropriately to AI-generated content and maintain a clear awareness of your decision-making autonomy when choosing whether to continue such interactions.

You expressly acknowledge and agree that the AI Interactive Content is purely fictional and is for entertainment purposes only. To the maximum extent permitted by applicable law, Neither Tofai nor its related parties shall be liable for any special damages (including, without limitation, damages arising out of the user's unique physical or mental condition, self-harm, or suicidal behavior), incidental, indirect, or consequential damages (such as loss of information, personal injury, invasion of privacy, Negligent damages or irreversible consequences caused by addiction or excessive immersion). In addition, Tofai shall not be liable for any warranty or indemnity for damages.

* * 16. Limitation of Tofai's Liability * *

You expressly understand and agree that Tofai shall not be liable for any indirect, incidental, special, consequential, exemplary damages, or damages for lost profits, including but not limited to damages for goodwill, use, data, or other intangible losses, even if Tofai has been advised of the possibility of such damages. Whether based in contract, tort, negligence, strict liability or otherwise, such damages arise from: (a) the use of or inability to use the Service or any related information; (B) unauthorized access to or alteration of your transmissions or data; (C) the representations or conduct of any third party (including the User) on the Service; or (d) any other matter related to the Service. In no event shall Tofai's total liability to you for all damages, losses or causes of action exceed one hundred dollars ( $100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Therefore, some of these limitations may not apply to you. If you are dissatisfied with any portion of the Site or these Terms of Use, your sole and exclusive remedy is to discontinue using the Services.

* * 17. Intellectual Property Rights * *

With respect to the Content or other materials that you upload to the Service or create using the Service (collectively, "* * Content * *"), you represent and warrant that you own all right, title and interest in and to such User Content, including without limitation all copyright and publicity rights contained therein, or are otherwise permitted to be used for such purposes, such as by license or legal exception or limitation. By creating or uploading any User Content that you own or create using the Service, you retain all rights therein (to the extent that you would otherwise hold such rights), And hereby grants and will grant to Tofai, to the fullest extent permitted by law, a non-exclusive, worldwide, royalty-free, fully paid, transferable, sub-licensable, perpetual, irrevocable license, To reproduce, display, upload, perform, distribute, store, modify, and otherwise use your User Content in any form, medium, or technology now known or later developed for any purpose related to Tofai.

You own all rights to any automated AI character that you create or upload using the Services ( "* * Character * *") (and, to the extent that you create a Derivative Work, you own all rights that you would otherwise own in that character) and any text, images, or video derived directly or indirectly from you ( "* * Generated Content * *"), And grant to Tofai, and any Tofai user deriving generated content from your character, a non-exclusive, worldwide, royalty-free, fully paid, transferable, sub-licensable, perpetual, irrevocable license to the fullest extent permitted by law, To copy, display, upload, perform, distribute, store, modify, and otherwise use the characters you create and any related generated content in any form, medium, or technology now known or later developed for any purpose. For a user who interacts with a character created or uploaded by another user or by Tofai, the user who elicited the generated content from the character owns all rights to the generated content, And grants to the creators of Tofai and the applicable characters a non-exclusive, worldwide, royalty-free, fully paid, transferable, sub-licensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, store, modify, and otherwise use any generated content. For the avoidance of doubt, violations of Tofai's Acceptable Use Policy that are not related to intellectual property issues do not affect a user's intellectual property rights in any role or content generated thereby.

You acknowledge and agree that the Application or the Service may contain content or features that are protected by copyrights, patents, trademarks, trade secrets, or other proprietary rights and laws ( "* * Application Content * *"). You may not engage in or use any data mining, robotics, scraping, or similar automated methods of data collection or extraction in the course of your use of the Application or the Service. If you are blocked by Tofai from accessing an Application or Service (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (for example, by masking your IP address or using a proxy IP address). Except as specifically authorized herein, any use of the Application or Service or the content of the Site is strictly prohibited. Any rights not expressly granted herein are reserved by Tofai.

The Tofai name and logo are trademarks of Tofai (collectively, the "* * Tofai Trademarks * *"). Other trademarks used and displayed through the App or Service may be trademarks of their respective owners, who may or may not endorse Tofai, or who are affiliated or associated with Tofai. Nothing in these Terms or in the Applications or Services shall be construed as granting, by implication, estoppel, or otherwise, a license or right to use any Tofai Trademark without our prior written permission in each instance. All goodwill arising from the use of the Tofai trademark will benefit us exclusively.

In no event shall Tofai be liable for any third party content or materials (including character bots created by third parties and any generated content produced by such character bots) in any way, including but not limited to infringement of intellectual property rights, any errors or omissions in the content, Or any loss or damage of any kind resulting from the use of any such content. You acknowledge that Tofai does not pre-screen Content, but that Tofai and its designees shall have the right, but not the obligation, to refuse or remove any Content made available through the Application or the Service in its sole discretion. Without limiting the foregoing, Tofai and its designees reserve the right to remove Content that violates these Terms, our Acceptable Use Policy, or that Tofai, in its sole discretion, deems objectionable. You agree that you must evaluate and use all risks associated with any Content, including any reliance on the accuracy, completeness, or usefulness of such Content.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information you provide to Tofai regarding the Application or the Services ( "* * Submissions * *") are non-confidential and that Tofai is entitled to use and disseminate those Submissions without restriction for any purpose, without acknowledgement or compensation to you.

Without limiting the foregoing, you acknowledge and agree that Tofai may retain the Content and may disclose the Content and/or Metadata if required by law or in a good faith belief that such retention or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or governmental requests; (B) enforce these Terms; (C) respond to claims that any Content infringes the rights of third parties; or (d) protect the rights, property, or personal safety of Tofai, its users, and the public. You understand that the technical processing and transmission of the Applications and Services, including your Content, may involve (a) transmission over various networks; and (B) changes to conform and adapt to the technical requirements of the connecting network or device.

Tofai respects the intellectual property rights of others and asks our users to do the same. Tofai will process and investigate notices of alleged infringement and will take appropriate action regarding any alleged or actual infringement in accordance with the Digital Millennium Copyright Act ( "DMCA") and other applicable intellectual property laws.

In accordance with the DMCA and other applicable laws, Tofai has adopted a policy to terminate users deemed to be repeat infringers in appropriate circumstances and at Tofai's sole discretion. Tofai may also, in its sole discretion, restrict access to the Service and/or terminate the registration of any User who infringes any intellectual property rights of others, whether or not there is a repeat infringement.

* * 18. Refund Policy * *

18.1 Scope of the Terms of the Refund Agreement for Users under 14: These Terms apply only to Users under 14. If the user requests a refund for the recharge, he/she must provide a valid age document, such as an ID card or household registration book, to confirm that he/she meets the age requirements of this refund policy.

18.2. Calculation method of refund

Once the refund request has been accepted and the user has been confirmed to meet the requirements, the refund amount will be calculated as follows. First, the amount actually used after the user's recharge will be deducted, which is based on the user's consumption record on the platform. Secondly, 50% of the recharge amount will be deducted as a service fee to compensate for the operating costs incurred by the platform in the process of providing services. Refund amount = recharge amount-used amount-recharge amount × 50%.

18.3. Application Process

Users or their guardians must submit refund applications through official channels designated by the platform (such as customer service mailboxes or dedicated refund application pages). When applying, in addition to providing age certificates, users must also provide relevant recharge vouchers, such as screenshots of payment orders, recharge time, recharge amount and other detailed information for verification and processing. After receiving the complete application materials, the platform will start the review process within 30 working days and update the progress to the applicant in time.

18.4. Special instructions

If the user maliciously uses this refund policy, such as forging age certificates or repeatedly submitting false refund applications, the platform reserves the right to refuse the refund request and pursue legal liability. In addition, if the refund process is delayed or cannot be carried out normally due to force majeure or other unforeseen and unavoidable reasons, the platform will notify the user in time and resume processing as soon as possible after the factors are removed.

* * 19. Indemnification and Disclaimer * *

You agree to release, indemnify and hold Tofai and its affiliates, and their officers, employees, directors and agents, Hold it harmless from any and all losses, damages, expenses (including reasonable attorneys' fees), rights, claims, actions of any kind, and injuries (including death) arising out of your use of the Service or any related information, any User Content, your application to Tofai or the results thereof, your violation of these Terms of Use, or your violation of any rights of another party.

* * 20. Relationship between this clause and laws and regulations * *

If the terms of these Terms violate any law or regulation applicable to the User's agreement with Tofai for the Services, such terms shall not apply to the agreement with the User to the extent of such violation; However, the remaining provisions of these Terms shall not be affected.

* * 21. Notice and Contact * *

21.1. Tofai will use such means as it deems appropriate, such as posting within the Service or at an appropriate location on the Tofai Website, in connection with Tofai's notifications to Users in connection with the Service.

21.2. For any notification by the User to Tofai regarding the Services, the User shall use the Customer Enquiry Form provided on the Services, or by such other means as Tofai may specify.

* * 22. Governing Law and Jurisdiction * *

Any conflict between the User and Tofai arising out of or in connection with the Services shall be resolved by the exclusive jurisdiction of the District Court of Hong Kong as a court of first instance.
